01Who you are contracting with
These terms are an agreement between you and Shopision LLC, a limited liability company registered in Wyoming, USA. “We”, “us”, “our” and “Shopision” mean that company. “You” means the person or business that uses this site, buys from us or subscribes.
By buying a task, a project, a subscription or a digital product, or by opening a client account, you accept these terms. If you are accepting them for a business, you confirm you are authorised to bind it. If you do not accept them, please do not buy.
Our services are offered for business use. If you buy as a consumer, these terms still apply, and so does every right the law where you live gives you that a contract cannot remove. Nothing in these terms takes those rights away.
02Words used in these terms
- Task: one defined piece of Shopify work, either bought at a fixed price or worked through a Studio subscription.
- Project: larger work quoted for you, such as a store setup, a migration or a rebuild.
- Studio: our monthly subscription, Lite (one active task at a time) or Pro (two active tasks at a time).
- Digital product: a download such as a playbook, template, snippet library or kit.
- Scope: the written description of what a task or project includes and excludes, agreed before work starts.
- Deliverables: the work we produce for you under a task or project.
- Client area: the signed-in part of our platform where you send briefs, receive deliveries and manage billing.
- Business day: Monday to Friday, excluding public holidays.
03What we sell
We sell four things, and each is priced differently on purpose.
- Fixed-price tasks, from the price shown on each task page, paid once. The page states what is included and what is not.
- Studio subscriptions, billed monthly. Lite keeps one task active at a time and Pro keeps two; you may queue as many requests as you like, and the next one starts when a slot is free.
- Quoted projects, such as a migration or a store setup, priced in a written quote before any money is paid. A quote binds neither side until you accept it, and it lapses after the period it states.
- Digital products, delivered as downloads straight after payment.
Work is carried out remotely. Every delivery is work checked by experts before it reaches you.
04Scope and revisions
We confirm the scope in writing before work starts. If your request is larger than the task you bought, we tell you before starting and either split it into further tasks or quote the difference. Nothing extra is charged without your agreement.
In Studio, one task is about three to four hours of expert work: a theme section, an app install, a landing page, a speed pass on one area. A request bigger than that is split across tasks or quoted as a project.
Revisions to the agreed work are unlimited within the agreed scope: we keep refining it until you are satisfied, while the work is open (see Acceptance). New features, extra pages, a change of direction or work on something outside the scope are new work, quoted or queued separately.
On Studio, a revision stays in the same active slot as its task. A task stays open while revisions are being made, so a long series of revisions uses the slot for longer.
We may decline a request that is not Shopify work, that we cannot do well, or that would break the law or a platform's rules, and we say so rather than taking it.
05Turnaround
We target about two business days per task, Monday to Friday, excluding public holidays. That is a target and not a guarantee — an unclear brief, a delay in access, or a third-party outage moves it, and we tell you when it does.
The clock starts when a task is active and we have the brief and the access it needs, not when a payment goes through while your queue is full. Projects follow the timeline in their quote.
An unclear brief, missing content, slow approvals, a delay in granting access, or an outage or change at Shopify or an app provider moves the timeline. We tell you when it moves and why.
06Your responsibilities
Good work needs your part too. You agree to:
- give us a clear brief and answer our questions in reasonable time;
- grant the access a task needs, and only that access;
- keep your own backups of your store, theme, products and data, and not rely on us as your backup;
- review previews and approve, or ask for revisions, before anything is published;
- send us only content (text, images, fonts, logos, product data, code) that you own or have the right to use, and tell us of any licence limits;
- make sure your store and what it sells comply with the law that applies to you: your own privacy policy and cookie notice, product claims and labelling, consumer, tax and import rules, and the terms of Shopify and every app you use.
We can point out a problem we notice, but we do not give legal, tax or regulatory advice, and our work does not make your store compliant for you.
07Access to your store
We ask for a Shopify collaborator account carrying only the permissions the task needs. We never ask for your account password, and you should never send one. If a third-party app needs separate access, we ask for the narrowest role it offers.
Work happens on a duplicate of your theme wherever the change allows. You get a preview, and nothing is published to your live store without your approval. We keep the original theme in your store for 30 days after delivery so a change can be undone; deleting it sooner is your choice and your risk.
Some changes cannot be made on a duplicate, such as app settings, product data, navigation or store settings. We tell you before making one of those.
You may revoke our access at any time, and you should once a task is delivered; we will confirm when we no longer need it. You are responsible for having the authority to grant access to the store.
08Acceptance of work
When we deliver, please review the work and either approve it or tell us what to change. Work is accepted when you approve it, publish it, or 14 days pass after our latest delivery without a revision request, whichever comes first.
After acceptance, a change to that work is a new task. If something we delivered fails to work as the agreed scope described because of an error in our own work, tell us within 30 days of acceptance and we will correct it at no charge; this does not cover changes made by you, another developer, Shopify or an app after delivery.
09Prices and payment
Prices are in US dollars unless the checkout shows another currency, and they exclude any tax that applies where you are; where we must charge tax, the checkout shows it. You are responsible for any tax, duty or bank fee your side of the payment attracts.
Payments are taken by our payment processors, such as Stripe. We never see or store your full card number.
A fixed-price task and a digital product are paid in full at checkout. A project is paid as its quote states, which may be a deposit and stage payments. Work starts only after the payment due for it has been received.
We may change our prices. A new price for a task, project or product applies to orders placed after the change. A change to a Studio price is notified to you by email at least 30 days before it applies to your next renewal, and you may cancel before then.
10Studio renewals and cancellation
Studio is billed monthly in advance at the price shown when you subscribed, and renews automatically each month until it is cancelled. By subscribing you authorise us and our payment processor to charge your payment method on each renewal date.
There is no long-term commitment. You can cancel at any time in the client area or by email. Cancellation stops the next renewal: your plan stays active, and your active tasks continue, until the end of the month you have paid for.
Unused time in a month and unused task slots do not carry over to another month and have no cash value.
A project or a fixed-price task that has started can be cancelled by asking us; we stop work, deliver what is done, and the charge for work already done stands, subject always to the rights the law where you live gives you.
11Failed payments, chargebacks and non-payment
If a payment fails, we tell you and try again over the following days. While a payment is overdue, work stops and no new task becomes active. If it is still unpaid after 14 days, we may end the subscription or project.
Please contact us first if you think a charge is wrong. Most questions are settled in a reply, and a chargeback freezes the conversation and costs both sides.
If a payment is reversed or disputed with your bank, we stop work and suspend the client area until the matter is resolved. The licence to use the work in that payment (see Intellectual property) does not pass to you until it is paid, and we may ask you to stop using unpaid work. If the dispute is resolved in our favour, any amount still owed remains due.
12Digital products
A digital product gives you exactly the files listed on its page, in the formats listed. Your download link appears after payment and stays in your client area, where you can get a fresh one.
If a file is missing, corrupted or does not match its description, contact us and we will help resolve it or provide a corrected replacement. Installation, customisation and changes to your store are separate services.
A digital product is licensed for use in your own business and the stores you run. You may not resell, share publicly or redistribute it as a product of your own. Support is as each product page states.
13Intellectual property
You keep everything you own: your store, brand, content and data. You give us a licence to use them only to do the work you asked for.
When a task or project is paid in full, the deliverables we created specifically for you become yours to use, change and keep, without further payment to us. Until then, we keep the rights in them.
We keep ownership of our own tools, code snippets, components, checklists, methods and templates that existed before your work or were made for general use, including where a deliverable uses them. On full payment you receive a permanent, non-exclusive licence to use them as part of that deliverable in your stores; you may not sell or distribute them on their own.
Third-party material (themes, apps, fonts, stock images, open-source code) stays under its own licence, which you must keep to; we tell you when a deliverable depends on one.
We may describe the kind of work we did in general terms. We do not publish your name, logo, figures or screenshots without your permission.
14Shopify, apps, themes and other third parties
Your store runs on Shopify and on themes, apps and services made by others. They are governed by their own terms, prices and policies, which you accept with them. Their fees are yours to pay unless a quote says otherwise.
We are not responsible for a third party's product, its availability, its pricing, its support, a change it makes, or its decision to suspend an account. If an update by Shopify or an app breaks work we delivered, fixing it is new work.
We may recommend an app or service. A recommendation is our honest view, not a promise about that product, and we do not receive payment for recommending it unless we tell you so.
15Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for the work, and share it only with people who need it for the work and are bound to keep it confidential.
This does not cover information that is already public, that the receiving side already had or develops independently, or that the law or a court requires to be disclosed (where allowed, the other side is told first). The duty continues for three years after our work together ends, and for as long as the information remains a trade secret or personal data.
16Results we do not promise
We commit to the work described in the scope, done with reasonable skill and care. We do not promise sales, revenue, conversion rates, traffic, search rankings, ad performance, a particular speed or performance score, app uptime, or how Shopify or any other platform will behave. Those depend on your product, price, market, competitors and third parties as much as on your store.
Any example, case study or before-and-after on our site illustrates past work; it is not a forecast for yours.
17Warranties
We warrant that we will perform the work with reasonable skill and care, in line with the agreed scope.
Apart from that, and to the extent the law allows, the services, deliverables, digital products and this site are provided “as is” and “as available”, and we give no other warranty, express or implied, including of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, or non-infringement. Where the law does not allow a warranty to be excluded, it applies only to the minimum extent required.
18Limitation of liability
Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, such as liability for fraud, for death or personal injury caused by negligence, or under consumer law that cannot be contracted out of.
Subject to that, and to the extent the law allows:
- our total liability for all claims arising out of or relating to these terms or our work is limited to the fees you paid us in the three months before the event giving rise to the claim;
- we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, sales, business, goodwill, data or opportunity, even if it was foreseeable;
- we are not liable for loss caused by your instructions or content, by a change made by you or a third party, by a third-party product or platform, or by your not keeping backups.
These limits reflect the price of the services and are part of the bargain between us.
19Indemnity
You will defend and hold us harmless against third-party claims, and the reasonable costs of meeting them, arising from content or materials you gave us, instructions we followed at your request, the products you sell, or your breach of these terms or of the law. We will tell you promptly of any such claim and let you take part in its defence.
20Suspension and termination
You may stop at any time: cancel Studio as described above, or ask us to stop a task or project.
We may suspend or end our work with you, after telling you why, if:
- a payment is overdue or reversed;
- you ask for work that is unlawful, infringes someone's rights, deceives buyers, or breaks Shopify's rules;
- you or someone acting for you is abusive or threatening towards our team;
- you materially breach these terms and do not put it right within 7 days of being asked.
When work ends, you keep everything already delivered and paid for. Sections that by their nature should survive (payment owed, intellectual property, confidentiality, liability, indemnity, disputes) continue to apply.
21Events outside our control
Neither of us is responsible for a delay or failure caused by something outside reasonable control, such as an outage at Shopify, a hosting or payment provider, a cyber attack, a power or internet failure, illness, natural disaster, war or government action. The affected side tells the other and resumes as soon as it can. If it lasts more than 30 days, either side may end the affected work.
22Who does the work
We are an independent contractor, not your employee, agent or partner. Work may be carried out by our team or by vetted specialists we engage, each bound to confidentiality. We remain responsible to you for their work as if it were our own.
23Complaints, disputes and governing law
If something goes wrong, please write to support@shopision.com first, describing the problem and what you would like done. Before either of us starts a formal claim, we both agree to allow 30 days to settle it informally. This does not stop either side seeking urgent relief from a court, or you contacting a consumer body.
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The state or federal courts located in Wyoming have exclusive jurisdiction, except where the law where you live gives you a right to bring a claim locally or to rely on its mandatory protections.
24Changes to these terms
We may update these terms. The date at the top of the page shows when they last changed. A change applies to orders placed after it is published. A material change that affects an active Studio subscription is notified by email at least 30 days before it applies, and you may cancel before then; continuing after that date is acceptance.
25General
- Notices: we send notices to the email address on your account, and you send them to us by email. A notice is received when sent, unless the sender learns it did not arrive.
- Assignment: you may not transfer this agreement without our consent. We may transfer it to a business that takes over our services, and will tell you if we do.
- Entire agreement: these terms, the scope or quote for your work, the checkout terms and our policies linked from this site are the whole agreement between us about the work. If they conflict, a signed quote comes first, then the scope, then these terms.
- Severability: if any part of these terms is found unenforceable, it is applied to the greatest extent allowed and the rest stays in force.
- No waiver: if either of us does not enforce a right straight away, that right is not given up.
- No third-party rights: only you and we may enforce these terms.
